OFFICIAL CONTEST RULES
“INSPECTOR GADGET® FAN ART” CONTEST
NO ENTRY FEE OR PURCHASE NECESSARY TO PARTICIPATE OR WIN.

1. Introduction.
In connection with the DVD release of Inspector Gadget - The Original Series, Shout! Factory announces a call for entries to animators of all shapes and sizes for the “Inspector Gadget®” Fan Art Contest (the “Contest”). Contest participants (“Participants”) may submit via email an original illustration of their own creation. The winning entry will evoke, mimic or complement the essence of Inspector Gadget according to the official judges at DIC Entertainment. Entries should follow the tone and spirit of the Inspector Gadget animated series. The winning entry will have their winning illustration included in the Special Features section of Disc 4 of the Inspector Gadget – The Original Series DVD Box Set.

2. Eligibility.
The Contest is open to any living persons, 18 years of age or older at the time of entry, who are legal residents of the United States or Puerto Rico. Rhode Island residents are ineligible. Employees of Shout! Factory, DIC Entertainment, Animation Magazine and their respective subsidiaries and agents, and the immediate family (defined as parents, children, siblings and spouse) of each such employee, together with those with whom such employees are domiciled, are not eligible. By participating in the Contest, Participants warrant that they are eligible to participate under the applicable law governing procurement of prizes and awards. Shout! Factory and its promotional partners, Animation Magazine are the sponsors of this Contest (the “Sponsors”). Shout! Factory reserves the right to disqualify any Participant if Shout! Factory determines in good faith that Participant did not follow these Official Rules, or if Participant’s participation in the Contest or receipt of prize would violate applicable law. Participants may be required to submit proof of their eligibility. Void where prohibited by law. Each Participant in the Contest shall fully and unconditionally agree to comply with and abide by these Official Rules and the decisions of Shout! Factory and its designated judges, which decisions shall be final and binding in all respects.

3. How To Enter.
The Contest starts on December 15, 2005 and ends on January 15, 2006 (the “Contest Period”). Participants who wish to physically mail in their entry can send to the following: DIC Entertainment c/o INSPECTOR GADGET FAN ART CONTEST SUBMISSION, 4100 W. Alameda Avenue, Burbank CA 91505. All entries must be received by DIC Entertainment on or before 12:00 pm PST on January 15, 2006. Entries must be submitted during the Contest Period to be considered. Only one (1) entry per Participant is permitted. Attach your completed entry form in your email submission. All registration information provided by Participant must be true and correct. DIC Entertainment and the Sponsors are not responsible for lost, stolen, late, incomplete, invalid, mutilated, illegible or misdirected entries, which will be disqualified; for technical failures of any kind, including, but not limited to, electronic malfunctioning of any network, hardware or software; or for any error, human, technical or otherwise. DIC Entertainment reserves the right, in its sole discretion, to disqualify any individual it finds tampering with the operation or entry process of the Contest, or acting in violation of these Official Rules or applicable law. Submitters located outside of the United States should note that customs delays could occur. Shout! Factory will not pay any customs fees, duties, or tariffs incurred by Participant’s submission. Submissions delayed past the submission deadline of the Contest Period will not be accepted for review and will be destroyed. Submissions cannot be returned.

4. Entry Requirements.
The following requirements apply to all entries:

A. All components of the Entry must be the original creation of the Participant with express exception that Inspector Gadget characters may be depicted, incorporated or satirized.

B. Entries may not contain profanity, nudity, pornographic images or explicit sexual themes, graphic violence, defamatory or libelous statements or material considered illegal. Entries containing any such aspects and/or that are in violation of law or otherwise deemed by DIC Entertainment, in its sole discretion, to be inappropriate will be disqualified. Entries determined to infringe on any intellectual property rights or other rights, will also be disqualified in the sole discretion of DIC Entertainment.

C. Each entry must be submitted on an individual basis only (i.e., no joint or corporate entries).

D. Each entry is an original work which is under no restriction, contractual or otherwise, which will prevent Shout! Factory use of the art and that all art is free of any and all liens, encumbrances and claims of third parties. Participant acknowledges, agrees and warrants that, except as permitted in paragraph A above, nothing in the components of the Entry infringe on any copyrights or trademarks, or violates any person's rights of privacy or publicity and that all necessary releases and permissions have been secured.

E. The entry may not include confidential information, trade secrets, trademarks or copyrighted material belonging to any person or entity other than the Participant absent a suitable license, clearance or permission agreement (proof of which is required upon submission).

F. Shout! Factory is not responsible for any expenses incurred in the production and delivery of the art entries.

G. Any entry that does not comply with the above restrictions or any other requirement herein is subject to disqualification.

5. Selection of Prize Winners.
Each entry that is in compliance with these Official Contest Rules will be reviewed by an internal judging board consisting of DIC Entertainment staff members. The entries will be evaluated based upon the extent to which the entry artwork evokes the creativity, uniqueness and accuracy of the Inspector Gadget model through its visual and style. The screening board will select the top design.

Winner will be required to sign distribution contracts, affidavits of eligibility, liability releases and publicity releases with Shout! Factory. The Grand Prize Winner must sign the exclusive distribution contract as presented by Shout! Factory. The terms of Grand Prize Winner’s exclusive distribution contract are not subject to negotiation. Refusal to sign any of the contracts or documents as listed herein or otherwise satisfy all of the requirements herein will result in disqualification, and a replacement Winner may be selected in Shout! Factory's sole discretion.

The winners will be announced no later than January 25, 2006 and notified by mail. ALL DECISIONS OF DIC ENTERTAINMENT AND THE JUDGES ARE FINAL.

6. Prizing.
The Grand Prize: The winner’s artwork will be included in the Special Features section of Disc 4 of Inspector Gadget – The Original Series DVD release. The Grand Prize winner will also receive the following DVD box sets: Inspector Gadget – The Original Series, Heathcliff and the Catillac Cats, The Legend of Zelda – The Complete Animated Series, COPS – The Animated Series and The Super Mario Bros Super Show! Prize valued at $650.00. First prize winner will receive the following DVD box sets: Inspector Gadget – The Original Series, Heathcliff and the Catillac Cats, The Legend of Zelda – The Complete Animated Series, COPS – The Animated Series and The Super Mario Bros Super Show! Prize valued at $150.00. Second prize winner will receive the following DVD box set: Inspector Gadget: The Original Series. Prize valued at $35.00.

These Conditions Apply to Prizes Awarded: (1) Winners may not request Prize substitutions, transfers or cash equivalents; (2) Shout! Factory reserves the right, in its sole discretion, to substitute different prizes of comparable value; (3) In order to receive the Prize, Participant must complete and return to Shout! Factory an Affidavit of Eligibility and a Liabilities/Publicity Release Form, except where prohibited by law, within seven (7) days of receipt of notification as a potential winner; (4) Failure to return the signed Affidavit and Release within seven (7) days may result in forfeiture of the Prize, except where prohibited by law; and (5) Shout! Factory does not warranty any Prize.

7. Winning and Notification.
The Winner will be announced on January 18, 2006. Potential winners may waive their right to receive a prize. Shout! Factory will attempt to notify potential winners by U. S. Mail, using the contact information provided on the registration form. If for any reason a potential winner cannot be reached after reasonable attempt has been made, the prize will be awarded to an alternate winner.

8. Ownership and License of Submissions.
Participants, as the original creators of the art entry submissions (“Submissions”), will retain complete ownership of the Submissions. Participants warrant that they hold all rights (including intellectual property rights) in and to the animation(s)/image(s)/material(s) in the Animation and/or art sequences submitted. In addition, the Grand Prize Winner grants to Shout! Factory the exclusive worldwide right and license, in perpetuity, to release, publish, distribute, advertise and otherwise exploit the Winning Submission on DVD and other home video formats as an extra feature included with the release of the Inspector Gadget – The Original Series DVD release. Participant warrants that the granting of the License and Shout! Factory’s exercise of such License shall not violate any third-party rights. Shout! Factory reserves the right and power, at its sole discretion, to edit, translate or alter the Submissions for, among other things, size, etc... Participant’s submission of the registration form constitutes his or her agreed consent to the grant of the License and to Shout! Factory’s right to edit the Winner as set forth therein. Shout! Factory will not return any tangible copies of the Submissions to the Contest and shall not be responsible for any loss or damage thereof. Participants acknowledge the receipt of adequate consideration from Shout! Factory in exchange for the rights granted herein.

9. General Terms and Conditions.
Participating in the Contest constitutes Participant’s full and unconditional agreement to and acceptance of these Official Rules. No purchase is necessary to enter or win, and no obligation of any kind is implied. Except where prohibited by law, participation in the Contest constitutes the winning Participant’s consent to Shout! Factory’s use of the winner’s name, city, state, likeness, photograph, statements made by the winner about the Contest, Shout! Factory, and/or prize information for promotional purposes in any media without further payment or consideration. BY ENTRY IN THE CONTEST, PARTICIPANT AGREES TO RELEASE AND HOLD HARMLESS SHOUT! FACTORY, THE AFFILIATED CONTEST SPONSORS, THEIR RELATED COMPANIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, AS WELL AS THE INDIVIDUAL JUDGES, FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF PARTICIPANTS PARTICIPATION IN THE CONTEST, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR RECEIPT, POSSESSION, USE OR MISUSE OF ANY PRIZE. SHOUT! FACTORY RESERVES THE RIGHT TO CANCEL OR MODIFY THIS CONTEST FOR ITS CONVENIENCE OR IF FRAUD, TECHNICAL FAILURES OR ANY OTHER FACTOR BEYOND SHOUT! FACTORY’S REASONABLE CONTROL IMPAIRS THE INTEGRITY OF THE CONTEST AS DETERMINED BY SHOUT! FACTORY IN ITS SOLE DISCRETION. ANY DISPUTES ARISING FROM OR RELATING TO THE CONTEST OR THE SELECTION OF WINNING SUBMISSION WILL BE RESOLVED BY SHOUT! FACTORY, IN ITS SOLE DISCRETION. Shout! Factory is not responsible for any injury or damage to persons or to property, which may be caused, directly or indirectly, in whole or in part, from downloading any material from Shout! Factory’s Web site, regardless of whether the material was prepared by Shout! Factory or a third party, and regardless of whether the material is connected to Shout! Factory’s Web site by a hypertext link. All federal, state, provincial and local laws and regulations apply.

10. Miscellaneous.
Participant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Contest, or any prizes awarded, other than the administration of the Contest or the determination of winners shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Courts for the Central District of California (Los Angeles Division) or the appropriate California State Court located in Los Angeles County, California; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys’ fees; and (3) under no circumstances will Participant be permitted to obtain awards for and Participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Participant on the one hand and Shout! Factory and its Sponsors on the other hand, in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of California, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California, U.S.A.

11. Sponsor.

12. Official Rules; Winners List.
A copy of these Official Rules will be posted at www.animationmagazine.net. A copy of the winners list, once available, will be posted at www.animationmagazine.net beginning on January 25, 2006 until February 25, 2006. A copy of the Official Rules and a copy of the winner’s list may also be obtained by written request mailed to: Inspector Gadget – Fan Art Contest 2042-A Armacost Ave., Los Angeles, CA 90025.
